Terms of Service

1. Agreement to these Terms

These Terms of Service ("Terms") govern your use of the Sayve app and website at sayvetech.com (the "Service"). Sayve is a product of Jobify Inc. ("Sayve," "we," "us," "our"), the corporation that builds and operates it. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old (or the age of majority where you live) and able to form a legally binding contract. You may use the Service only where permitted by law, and you are responsible for complying with the laws that apply to you.

3. What Sayve is — non-custodial

Sayve is a non-custodial application. We provide a software interface to a self-custodial cryptocurrency wallet (created through Coinbase Developer Platform) that holds USDC on the Base network. You — and only you — control your wallet and your funds.

We do not take custody of, hold, or control your funds. We cannot access your private keys or recovery phrase, move your funds, or reverse your transactions. You are solely responsible for safeguarding your wallet credentials and recovery phrase. If you lose them, we cannot recover your funds for you.

4. Accounts and identity verification

To use certain features, you must register for an account and may be required to verify your identity (KYC), either through us or through our partners. You agree to provide accurate, current information and to keep it up to date. We may refuse, suspend, or terminate access where necessary to comply with law or our policies.

5. Third-party services

The Service relies on third parties, including Coinbase Developer Platform (wallet infrastructure). Your use of those features is also subject to those providers' terms and privacy policies. You fund your wallet by transferring USDC from your own third-party accounts (such as Coinbase); Sayve does not buy, sell, or convert crypto for fiat on your behalf. We do not control and are not responsible for third-party services.

6. Acceptable use

You agree not to use the Service for any unlawful purpose, including money laundering, terrorist financing, fraud, sanctions evasion, or any activity prohibited by law or by our partners. You will not interfere with, reverse engineer, or otherwise misuse the Service.

7. No advice

Sayve does not provide investment, financial, tax, or legal advice. Nothing in the Service is a recommendation to buy, sell, or hold any asset. You are responsible for your own decisions.

8. Digital asset risks

Digital assets carry risk. While USDC is designed to track the U.S. dollar, its value is not guaranteed and stablecoins can lose their peg. Blockchain transactions are generally irreversible. The regulatory environment for digital assets is evolving and may affect the Service. You accept these risks when you use the Service.

9. Fees

Any fees for funding, withdrawing, or other features will be disclosed within the Service or by the relevant third-party provider before you complete a transaction.

10. Promotions and rewards

We may, from time to time, offer promotions, rewards, or other programs. Any such program is governed by its own separate official rules and terms, published at the time it is offered. Those rules control to the extent they differ from these Terms.

11. Intellectual property

The Service — including its software, design, and trademarks — is owned by Jobify Inc. or its licensors. We grant you a limited, personal, non-transferable, revocable license to use the Service. You may not copy, modify, distribute, or create derivative works without our permission.

12. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or secure.

13. Limitation of liability

To the fullest extent permitted by law, Jobify Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of funds resulting from your loss of wallet credentials, from third-party services, or from blockchain transactions. Our total liability for any claim relating to the Service will not exceed the greater of the fees you paid us in the preceding 12 months or CAD $100.

14. Indemnification

You agree to indemnify and hold harmless Jobify Inc. from any claims, damages, or expenses arising out of your use of the Service or your violation of these Terms or applicable law.

15. Termination

You may stop using the Service at any time; because the Service is non-custodial, your funds remain in your wallet. We may suspend or terminate your access if you violate these Terms or as required by law.

16. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law principles. [Dispute resolution, arbitration, and venue terms to be confirmed with counsel.]

17. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, for material changes, provide additional notice. Your continued use of the Service means you accept the updated Terms.
